我国上市公司财务困境成因及治理对策探讨

摘  要：
从财务困境的概念及相关理论入手,在明确财务困境与公司治理关系的基础上,分别从股权结构,董事会结构和管理人员权责等几个方面,分析得出财务困境的形成有内部和外部两种原因。并针对上述分析提出加强股权结构、加强董事会规模和采用两权分离办法等治理对策。

摘  要：
This article, in view of the concepts and related theories on the financial difficulties, and defining relationship between financial distress and corporate governance, analyzed internal and external reasons of financial distress, from the ownership structure, board structure and management accountability and so on. At last, it put forward to control measures of the ownership structure, strengthening board size and the methods of separation of ownership.
